These terms and conditions ("Terms") apply to your access and use of the UniversalPage platform and any services provided by UniversalPage, including the Page Builder, Marketplace, Listings, and Offers services (collectively, the "Platform"). By accessing or using the UniversalPage platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not access or use the Platform.
To use the Platform, you must be at least 18 years old and have the legal capacity to enter into these Terms and be bound by them. If you are a legal entity, you must have the legal authority to accept these Terms on behalf of the entity and confirm that the entity has been established lawfully and acts in accordance with the law.
UniversalPage does not allow usage of the Platform to users from the following jurisdictions: Belarus, Burundi, Crimea and Sevastopol, Cuba, Democratic Republic of Congo, Iran, Iraq, Libya, North Korea, Somalia, Sudan, Syria, Venezuela, Zimbabwe or any other country to which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions.
All copyright and other intellectual property rights in the Platform, including the website, app, and services, are owned by or licensed to UniversalPage. You do not have the right to use, reproduce, or distribute any of these materials without the express permission of UniversalPage.
Subject to your compliance with these Terms, we grant you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to access and use the Platform for your own personal use. This license is intended to enable you to use and enjoy the benefits of the Platform in the manner permitted by these Terms. The right to access the Platform will automatically terminate when your account is closed. Any other use of the Platform that is not in accordance with these Terms requires our prior written consent.
The Platform may only be used and accessed for lawful purposes. You agree to abide by all applicable local, state, national, and foreign laws and regulations in connection with your use of the Platform.
We may terminate your access to the Platform at any time and for any reason, without notice.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL WE BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH THE PLATFORM, INCLUDING BUT NOT LIMITED TO YOUR USE OR INABILITY TO USE THE PLATFORM, ANY CHANGES TO THE PLATFORM, OR ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold us and our affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another.
These Terms and your access and use of the Platform shall be governed by the laws of the country in which UniversalPage is headquartered, without giving effect to any principles of conflicts of law.
Any dispute arising from or in connection with these Terms or the Platform shall be resolved through negotiation and mediation in good faith. If the dispute cannot be resolved through negotiation and mediation, it shall be finally settled by arbitration in accordance with the rules of the International Chamber of Commerce. The arbitration shall be conducted in the English language in the country in which UniversalPage is headquartered.
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible and the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between you and us regarding the use of the Platform and supersede any prior agreements or understandings, whether written or oral.
We may update these Terms from time to time. If we make any material changes, we will post the updated Terms on the Platform and update the "Effective Date" at the top of these Terms. By continuing to access or use the Platform after those changes become effective, you agree to be bound by the revised Terms.
The Page Builder service allows users to create and customize their own personal website to showcase their digital assets on the LUKSO blockchain. The website created with the Page Builder is known as a Universal Profile Page (UPN), which is an NFT minted on the LUKSO blockchain. Each UPN has a unique domain within the universal.page domain, or a unique page name.
A limited number of UPNs are available for free, but users can reserve additional UPNs by purchasing them with LYX, the native cryptocurrency of the LUKSO blockchain. The price of a UPN may change without notice. By using the Page Builder to create a unique UPN, users can turn their Universal Profile into a personalized website that showcases their digital assets on the LUKSO blockchain.
The UniversalPage platform allows users to enable payments on their personal website, allowing them to receive LYX directly from other users. To make a payment, a user can navigate to the profile page of the recipient and initiate a transfer of LYX from their own profile. The payment can be accompanied by a message indicating the purpose of the payment.
The payments on the UniversalPage platform are facilitated by a smart contract, which enables custom experiences such as attaching a message to the payment. The smart contract also enables payments to be made without any fees, as the transfers are recorded directly on the LUKSO blockchain. All transfers made through the payments contract are available for anyone to access, providing transparency and security for the transactions.
UniversalPage uses LUKSO Standard Proposals (LSPs) to define the standards for digital assets on the platform. The relevant LSPs for the Marketplace are LSP7 - digital asset, and LSP8 - identifiable digital asset. These LSPs specify the requirements for listing and trading NFTs on the UniversalPage platform.
The UniversalPage platform is built on the LUKSO blockchain, which is a decentralized platform for creating and trading digital assets. LYX is the native currency of the LUKSO blockchain, and it is used for all transactions on the UniversalPage platform, including purchasing UPNs, making payments, and trading NFTs on the Marketplace.
The Marketplace is a set of smart contracts that enable the listing of NFTs for sale, coordinating offers made by users, and facilitating the sale and transfer of sold NFTs. The Marketplace takes a 3.5% fee on each sale of an NFT.
The Marketplace contract does not acquire users' NFTs when they are listed for sale. Instead, the smart contract requests authorization to transfer the NFTs when they are sold. The Marketplace integrates with the Listings and Offers services to coordinate requirements such as the price of the NFT and any other conditions for making a sale. This allows users to easily trade NFTs on the LUKSO blockchain using the UniversalPage platform.
Listings are smart contracts that are used to describe and track the availability of LSP7 and LSP8 digital assets for sale by Universal Profiles on the UniversalPage platform. The Listings contracts do not transfer or collect payments from users; instead, they are used to provide information about the NFTs that are available for sale.
Users have full control over their listings, and can create, update, and cancel any of their listings at any time. The Listings contracts provide an easy way for users to make their NFTs available for sale on the Marketplace, and provide potential buyers with information about the NFTs that are available.
Offers are smart contracts that are used to describe and track buy inquiries made by Universal Profiles on listings of NFTs available for sale on the UniversalPage platform. Users can make only one offer per listing, but they can increase their offer (also known as "topping off") or cancel it at any time.
To make an offer, a user must pay an upfront fee to the offers escrow. A sale of an NFT only takes place if the seller accepts the offer. If the seller does not accept the offer, the user can cancel their offer at any time and their funds will be returned from the offers escrow.
The Offers contracts provide a way for buyers to express interest in purchasing an NFT, and for sellers to review and respond to offers made on their listings. This helps to facilitate the sale of NFTs on the Marketplace.
The Marketplace on the UniversalPage platform takes into account royalties that may be charged on each sale of an NFT. Royalties are set up by the owner or creator of the NFT and can be a percentage of the sale price. The maximum amount of royalties that can be charged on a sale is 15%.
When an NFT is listed for sale on the Marketplace, the royalties are clearly stated on the frontend website, along with the total listing price and any fees that may be deducted from the sale price. This allows potential buyers to see the full cost of the NFT, including any royalties that may be charged, before making an offer to purchase the NFT.
Overall, the inclusion of royalties in the Marketplace helps to support the creators and owners of NFTs by allowing them to earn a portion of the proceeds from each sale of their NFTs.
The UniversalPage platform charges a 3.5% fee on each sale of an NFT on the Marketplace. This fee is non-refundable and will be deducted from the sale price of the NFT.
UniversalPage does not provide any warranties for the services provided on the platform. The platform and all services are provided on an "as is" and "as available" basis without any warranties of any kind. UniversalPage does not make any representations or warranties of any kind, express or implied, regarding the accuracy, reliability, or completeness of any information on the platform.
UniversalPage is not liable for any damages arising from your use of the platform or any services provided by UniversalPage. In no event will UniversalPage be liable for any special, indirect, incidental, consequential, or punitive damages, including without limitation, loss of profits, loss of data, or loss of goodwill.
UniversalPage does not collect, track, or make tax payments related to any activities on the platform, including the sale of NFTs on the Marketplace. It is the user's responsibility to comply with their country's tax laws and regulations. UniversalPage is not liable for any tax payments or collection, and users are solely responsible for complying with their country's tax laws and regulations.
By using the UniversalPage platform, you agree to these terms and conditions and acknowledge that you are responsible for complying with your country's tax laws and regulations.
